Confidential Information and Publicity
Confidential information of a strategic nature relating to the disclosing Party provided in connection with this Agreement will be held and maintained as strictly private and confidential, where all steps necessary will be taken to preserve such confidentiality. Its usage is solely for the purpose of the preparation of the proposals for projects identified in the Sales Pipeline, and purposes of this agreement.

Both parties are obligated to protect the Confidential Information of the other under the Agreement. If either party seeks to issue any form of publicity in respect of any terms between the two parties shall first consult and obtain prior written consent of the other party.

Non-Solicitation
The Parties further agree not to directly or indirectly contact any staff of the other Party, without the prior written consent of the Other Party, whether for reasons stipulated under this Agreement or for the intention of offering employment and/or compensation and benefits, or commission payments not sanctioned by the senior management of the Other Party

Term and Termination

The agreement is effective for 12 months from the signing date, with the possibility of renewal. It can be terminated with 30 days’ written notice by either party or immediately in cases of material breach or business discontinuation.

The partnership will operate under the jurisdiction of Singapore law, and any disputes will be subject to resolution by Singapore courts.

General
Both parties are independent contractors, meaning that no partnership, joint venture or any other formal business organisation is created by the Agreement and neither shall have the authority to bind the other. The Agreement is also not intended to grant rights under any patent or copyright of either party.

​

Neither party shall be liable for failures due to reasons beyond control, and also for any damages or lost revenue or profits however caused in connection with the Agreement. Rights and obligations under this Agreement shall not be assigned or transferred without the prior written consent of both parties involved.

​

The Agreement shall be construed and governed by the laws of Singapore and the courts of Singapore shall have the exclusive jurisdiction in the event of any dispute arising out of it.
